3. Fees and Payment

3.2 Payment terms are strictly 14 days from the date of invoice unless otherwise agreed.
3.3 We reserve the right to suspend Services if payment is not received on time.
3.4 All prices quoted are exclusive of VAT unless otherwise stated.

4. Client Obligations

4.1 You agree to provide all information, approvals, and cooperation necessary for us to deliver the Services.
4.2 You warrant that you have the necessary rights, licences, and permissions for any content or material provided to us.
4.3 You shall indemnify us against any claims arising from materials supplied by you.

5. Intellectual Property

5.1 All intellectual property rights in Deliverables created by us will remain our property until payment is received in full.
5.2 Upon full payment, you will receive a non-exclusive, non-transferable licence to use the Deliverables for their intended purpose.
5.3 You may not resell or distribute Deliverables without prior written consent.

6. Liability

6.1 Nothing in this Agreement excludes liability for death or personal injury caused by negligence, or for fraud.
6.2 We will not be liable for any indirect, consequential, or economic losses.
6.3 Our total liability under this Agreement shall not exceed the total fees paid by you for the Services.

7. Confidentiality

7.1 Both parties agree to keep confidential all information relating to the business, affairs, or finances of the other party.
7.2 This obligation shall continue after termination of this Agreement.

8. Data Protection

8.1 We will process personal data in accordance with the UK GDPR and Data Protection Act 2018.
8.2 You agree that we may collect, store, and process your information as necessary to deliver the Services.

9. Termination

9.1 Either party may terminate this Agreement by giving 30 days’ written notice.
9.2 We may terminate immediately if you breach any of these Terms and Conditions.
9.3 On termination, all outstanding fees must be paid immediately.

10. Force Majeure

10.1 We shall not be liable for any delay or failure in performing our obligations if caused by events beyond our reasonable control, including strikes, natural disasters, acts of government, or failures of suppliers.

11. Governing Law

11.1 These Terms and Conditions are governed by the laws of England and Wales.
11.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
